Terms of service

1. Agreement
These Terms of Service ("Terms") are an agreement between Idaho Aviators, LLC ("Idaho Aviators", "we", "us") and the organization that signs up for GoFBO ("Customer", "you"), and govern use of the GoFBO application, website and related services (the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you accept on behalf of an organization, you confirm you have authority to bind it. Our Privacy Policy explains how we handle information.
2. Accounts and users
You may invite your employees, contractors, owners and others ("Users") and assign them roles. You're responsible for your Users' activity, for keeping sign-in credentials secure, and for the accuracy of the information you put into the Service. Tell us promptly at the address below if you suspect unauthorized access. You must be at least 18 to create an account.
3. Free trials, subscriptions and billing
We may offer a free trial; when it ends, the Service stops unless you choose a paid plan. Paid plans are billed in advance for each subscription period at the prices shown when you subscribe, and renew automatically until cancelled. You can change or cancel your plan in the Service; cancellation takes effect at the end of the current period. Except where the law requires otherwise, fees already paid aren't refundable. Prices don't include taxes, which you're responsible for. We may change prices for future periods with at least 30 days' notice. If a payment fails, we may suspend the Service after notifying you.
4. Acceptable use
You agree not to: use the Service unlawfully or to infringe anyone's rights; upload malicious code or attempt to break, probe or overload the Service; access another organization's data or try to get around access controls; resell or provide the Service to third parties except as these Terms allow; reverse engineer the Service except where the law permits; send spam or unwanted messages through the Service's email or texting features; or use the Service to build a competing product. We may suspend access that violates this section or threatens the Service's security, and will tell you when we do.
5. Your data
You own the information you and your Users put into the Service ("Customer Data"). You give us permission to host, copy, process and display Customer Data only as needed to provide, secure and support the Service and as described in the Privacy Policy. You're responsible for having the rights and consents needed to provide Customer Data to us, including consent from people who receive text messages. We may use aggregated, de-identified data that doesn't identify you or any person to operate and improve the Service. You can export your data while your account is active.
6. Aviation and operational disclaimer
GoFBO is a planning and record-keeping aid. Schedules, duty and rest calculations, risk assessments (FRAT), weather, NOTAMs, airport and FBO information, fuel plans, maintenance reminders, currency and certificate tracking, and AI-generated research and summaries may be incomplete, delayed or wrong. They don't replace an official preflight briefing, approved aircraft and maintenance documents, a qualified mechanic's or inspector's determination of airworthiness, or the pilot in command's judgment and final authority. You remain solely responsible for compliance with the Federal Aviation Regulations and every other law that applies to your operation, and for the safety of every flight.
7. Third-party services and AI features
The Service can connect to services we don't control, such as calendars, text messaging, payment processing, weather and aviation data sources, and AI providers. Your use of them may be subject to their terms. When you turn on AI features, the content you send to them is processed by our AI provider to produce the result; review AI output before relying on it. We aren't responsible for third-party services or their availability.
8. Our property and feedback
We and our licensors own the Service, including its software, design and content, and all related intellectual property. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription; they don't transfer ownership. If you send us suggestions, we may use them without obligation to you.
9. Availability and changes
We work to keep the Service available but don't guarantee it will be uninterrupted or error-free; planned maintenance and events beyond our control may affect it. We may change or improve features. If we remove a material feature you pay for, we'll tell you in advance.
10. Confidentiality
Each party will protect the other's non-public information it receives through the Service with reasonable care and use it only to perform under these Terms, except for information that is public, already known, independently developed, or that must be disclosed by law.
11. Disclaimer of warranties
Except as expressly stated in these Terms, the Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that data, calculations or AI output will be accurate or complete.
12. Limitation of liability
To the fullest extent the law allows, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised they were possible. Our total liability arising out of or relating to the Service or these Terms won't exceed the amounts you paid us for the Service in the 12 months before the event giving rise to the claim. These limits don't apply to your payment obligations or to either party's indemnity obligations.
13. Indemnity
You'll defend and indemnify Idaho Aviators against third-party claims arising from your Customer Data, your operations and flights, or your or your Users' breach of these Terms or misuse of the Service. We'll defend you against third-party claims that the Service, as we provide it, infringes their intellectual property rights.
14. Ending service
You may stop using the Service and cancel at any time. We may suspend or end your access if you materially breach these Terms and don't fix the breach within 15 days of notice, or immediately where needed to protect the Service or comply with law. After your account ends, you'll have 30 days to request an export of your Customer Data, after which we may delete it. Sections that by their nature should survive (including 5, 6, 8 and 10–15) survive.
15. Governing law and general terms
These Terms are governed by the laws of the State of Idaho, without regard to its conflict-of-law rules, and disputes will be heard in the state or federal courts located in Ada County, Idaho. These Terms are the entire agreement about the Service and replace prior understandings about it. If any part is unenforceable, the rest stays in effect. Neither party may assign these Terms without the other's consent, except to a successor in a merger or sale of substantially all its assets. Neither party is liable for delays caused by events beyond its reasonable control. We may update these Terms; we'll change the date above and give account administrators notice of material changes before they take effect, and continued use after that means you accept them.
